These Terms and Conditions ("Terms") govern your access to and use of the VideoToSCORM website and services ("Service") operated by VideoToSCORM ("we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
- Service: The Video to SCORM conversion platform.
- User: Any individual or entity using the Service.
- Uploaded Content: Any video or file uploaded by you.
- Output: The SCORM package generated by the Service.
- Subscription: Any paid plan or usage-based access.
- Free Plan: Access provided at no charge, subject to limits.
- Paid Plan: Access requiring payment.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
3. Description of the Service
The Service allows users to upload video content and convert it into SCORM-compliant learning packages. We may modify, suspend, or discontinue any part of the Service at any time without notice.
4. Accounts
Certain features may require account registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
5. User Content & Ownership
You retain full ownership of your Uploaded Content and the Output generated by the Service. We do not claim ownership of your files.
You grant us a limited, non-exclusive, temporary license to process your Uploaded Content solely to provide the Service.
6. Data Retention & File Deletion
Uploaded files may be temporarily stored for processing. We do not guarantee long-term storage and may delete files automatically after processing or after a limited period. You are responsible for backups.
7. Acceptable Use
- Do not upload content you do not have rights to.
- Do not upload illegal, infringing, or harmful material.
- Do not attempt to reverse engineer or disrupt the Service.
- Do not abuse system resources or automate excessive requests.
8. Subscriptions, Fees & Payments
The Service may offer Free Plans and Paid Plans. Fees for Paid Plans are billed in advance. Prices, features, and limits may change with notice. Failure to pay may result in suspension or termination.
9. Refunds & Cancellations
Unless explicitly stated, payments are non-refundable. You may cancel your subscription at any time, and access will continue until the end of the billing period.
10. Intellectual Property
The Service, software, branding, and website content are owned by us and protected by intellectual property laws. You may not copy or resell any part of the Service without permission.
11. Service Availability
The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation.
12. Privacy
Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to data collection and processing as described therein.
13. Third-Party Services
The Service may rely on third-party infrastructure. We are not responsible for third-party outages or failures.
14. Termination
We may suspend or terminate access for violations of these Terms, non-payment, or at our discretion. Upon termination, data may be deleted and no refunds will be provided unless required by law.
15. Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- The generated SCORM output will meet all LMS, regulatory, accreditation, or compliance requirements
- The Service will be compatible with all learning management systems, platforms, or environments
- The Output will achieve any specific learning, business, financial, or compliance outcome
You acknowledge that the Service is a technical conversion tool only. We do not provide educational, legal, financial, or regulatory advice.
You are solely responsible for reviewing, validating, testing, and approving any Output before using it in production, training programs, certifications, or commercial offerings.
16. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to:
- Loss of revenue, profit, business, or anticipated savings
- Loss of data, content, or training materials
- Business interruption or downtime
- Failure to meet contractual, regulatory, or compliance obligations
- Claims arising from the use of the Output in learning, certification, or commercial programs
This limitation applies regardless of the legal theory asserted, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.
Our total cumulative liability for any claim arising out of or relating to the Service shall not exceed the total amount paid by you to us for the Service during the three (3) months immediately preceding the event giving rise to the claim.
If you are using the Service under a Free Plan, our total liability shall be limited to USD 0, to the maximum extent permitted by law.
17. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Service or violation of these Terms.
18. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.
19. Changes to These Terms
We may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
